Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Payth payment gateway (“Payth”, the “Service”), operated by Kodelyth LLC (“Kodelyth”, “we”, “us”). By integrating or using Payth, you (the “Merchant”) agree to these Terms.
1. Eligibility
Payth is provided exclusively to incorporated companies that have been vetted, approved, and provisioned by Kodelyth. Payth is not a self-serve or public service. There is no open registration; access is granted by invitation and subject to Kodelyth’s onboarding and due-diligence process.
2. The Service
Payth provides a hosted payment gateway that accepts payments through supported methods (including bKash, Nagad, BanglaQR, and cards) and verifies them through Veltix, Kodelyth’s payment-intelligence engine. Kodelyth hosts and operates the infrastructure on the Merchant’s behalf.
3. Merchant obligations
- Provide accurate corporate, banking, and contact information.
- Use the Service only for lawful transactions and legitimate business.
- Keep API credentials confidential and secure.
- Comply with applicable laws, payment-network rules, and these Terms.
4. Fees & settlement
Fees, settlement timelines, and payout terms are set out in the Merchant’s individual agreement with Kodelyth. Settlement is made to the Merchant’s designated account subject to successful verification and applicable holds.
5. Prohibited use
The Service may not be used for fraudulent, deceptive, illegal, or high-risk activity prohibited by law or by payment providers. Kodelyth may suspend or terminate access where such use is suspected.
6. Refunds & chargebacks
Merchants are responsible for their own refund policies. Refunds processed through Payth are reversed to the original payment method. Chargeback and dispute handling follow the relevant payment provider’s rules.
7. Availability & liability
The Service is provided on a commercially reasonable-efforts basis. To the maximum extent permitted by law, Kodelyth is not liable for indirect, incidental, or consequential damages. Nothing limits liability that cannot be limited by law.
8. Suspension & termination
Either party may terminate as set out in the Merchant agreement. Kodelyth may suspend access immediately to protect the Service, other merchants, or to comply with law.
9. Governing law
These Terms are governed by the laws of the State of Colorado, USA, and applicable laws of Bangladesh where the Service operates, without regard to conflict-of-laws rules.
